Counsel to U.S.-based high technology firm in forward triangular international merger with firm in United Kingdom. Successful recovery of complicated series of debts on behalf of a lender-client involving judicial foreclosure, foreclosure by advertisement, defense of lender liability and injunctive proceedings in multiple state courts. Successful defense of state criminal anti-trust prosecution against trade association and 186 members. Counsel to a service provider in the successful defense of an extended, out-of-state arbitration proceeding. Negotiation of complicated health care management agreement involving potential issues of corporate practice of medicine, self-referral and fraud and abuse issues, and, at the termination of the contract, when one party refused to perform, obtained summary judgment enforcing the contract. Merger of California limited liability company into Michigan corporation in a transaction involving two high-technology firms.
